1 Acceptance of Terms

Welcome to realpanel.com.tr (the "Site"), owned and operated by Özbeyler Metal Yapı Malz. San. ve Tic. Ltd. Şti., operating under the "Real Panel" brand ("Real Panel," "we," "us," or "our").

By accessing or using this Site, you agree to be bound by these Terms of Use (the "Terms"). If you do not agree with any part of these Terms, you must not use the Site. These Terms constitute a legally binding agreement between you and Real Panel.

The Site may provide interactive tools designed to assist you in product selection and technical calculations:

5.1 Panel Selector Wizard

Where available, the Panel Selector provides product recommendations based on the parameters you enter (building type, insulation requirements, fire rating needs, etc.). Results are intended as guidance only and do not constitute a binding product specification or offer.

5.2 U-Value Calculator

Where available, the U-Value Calculator provides theoretical thermal transmittance calculations based on standard formulas and the panel properties you select. Results are approximate and intended for preliminary planning purposes. Actual thermal performance may vary depending on installation conditions, climate, and building design.

5.3 Project Map

Where available, the interactive project and export markets map displays approximate locations of completed projects and active export regions. Map data is for illustrative purposes and may not reflect the most current project status.

6 Quote Requests & Commercial Terms

6.1 Nature of Quote Requests

Submitting a quote request through the Site constitutes an inquiry, not a purchase order or binding agreement. Real Panel is under no obligation to provide a quotation in response to every inquiry, and any quotation provided does not constitute a binding offer until a separate, written sales agreement is executed by both parties.

6.2 Pricing and Availability

All product prices, specifications, and availability information displayed on the Site are subject to change without notice. Prices shown (if any) are indicative and may vary based on order volume, customization requirements, delivery location, and prevailing raw material costs at the time of order confirmation.

6.3 Sales Agreements

The purchase and sale of Real Panel products is governed by separate commercial agreements between Real Panel and the buyer. These Terms of Use do not constitute, supplement, or replace any commercial sales agreement, proforma invoice, or purchase order.

6.4 Export Terms

For international orders (Romania, Bulgaria, Georgia, North Macedonia, Kosovo, and other markets), delivery terms, shipping responsibilities, and risk transfer are governed by the applicable Incoterms (International Commercial Terms) specified in the individual sales agreement.

7 Intellectual Property

7.1 Ownership

All Content on the Site — including but not limited to text, product descriptions, technical specifications, images, photographs, videos, graphics, logos, trademarks, trade names, software, source code, page layouts, and design elements — is the property of Real Panel or its licensors and is protected by Turkish and international intellectual property laws.

7.2 Limited License

Real Panel grants you a limited, non-exclusive, non-transferable, revocable license to access and view the Content on the Site for personal, non-commercial use or for the purpose of evaluating Real Panel's products and services for potential business engagement. This license does not include the right to:

• Reproduce, distribute, or publicly display any Content beyond what is necessary for the permitted use.
• Modify, create derivative works from, or reverse-engineer any Content or software on the Site.

Product catalogs, installation guides, performance data sheets, and test reports made available for download on the Site are provided for informational purposes in connection with the evaluation and use of Real Panel products. They may be downloaded and printed for internal business use but may not be reproduced for commercial redistribution without written permission.

8 Product Information Accuracy

We make reasonable efforts to ensure that product descriptions, technical specifications, and performance data on the Site are accurate and up to date. However:

9 Prohibited Conduct

12 Limitation of Liability

To the maximum extent permitted by applicable law, Real Panel, its directors, employees, agents, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to:

• Costs of procurement of substitute products or services.

14 Governing Law & Dispute Resolution

14.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Republic of Türkiye, without regard to its conflict of law provisions.

14.2 Jurisdiction

Any disputes arising out of or in connection with these Terms or your use of the Site shall be submitted to the exclusive jurisdiction of the courts and enforcement offices of Gebze / Kocaeli, Türkiye.

14.3 Alternative Dispute Resolution

For commercial disputes, the parties may first attempt to resolve the matter through good-faith negotiation. If negotiation fails, the parties may agree to submit the dispute to mediation in accordance with Turkish Mediation Law No. 6325 before resorting to litigation.

15 Changes to These Terms

Real Panel reserves the right to modify these Terms at any time. When we make material changes, we will update the "Last Updated" date at the top of this page. Your continued use of the Site after any changes constitutes your acceptance of the new Terms.
